TERMS OF USE

These terms and conditions ("Terms") govern your use of Amaken for Technical Solutions LLC's website, mobile application, and associated services, including our property marketplace and our customer relationship management (CRM) tools (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Platform.
Amaken for Technical Solutions LLC is not a brokerage agency or a real estate development company, and we do not charge any commission on real estate transactions. Our role is to facilitate the business of real estate. Our marketplace is supported primarily by advertising; certain other services, such as CRM tools offered to agencies, may be provided under separate paid arrangements as described in these Terms.
1. Definitions
"User" means any person who accesses or uses the Platform. "Agency" or "Agent" means a real estate professional or business using the Platform, including its listing and CRM features. "Agency Contacts" means individuals whose personal data an Agency inputs into the Platform (such as the Agency's own clients, leads, and contacts).
2. User Eligibility
The Platform is not directed to, and may not be used by, individuals under the age of 18. By using the Platform, you confirm that you are at least 18 years old. We do not knowingly collect personal data from minors, and if we become aware that we have done so, we will take steps to delete it.
3. User Accounts
a. To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
b. You agree to provide accurate, current, and complete information during registration and to keep it updated.
c. You must notify us promptly of any unauthorized use of your account. We are not liable for losses arising from your failure to safeguard your credentials.
4. Acceptable Use
You agree not to:
a. Use the Platform for any unlawful, fraudulent, or misleading purpose.
b. Post content that is false, infringing, defamatory, or that you do not have the right to share.
c. Upload personal data of third parties without a lawful basis to do so.
d. Attempt to gain unauthorized access to the Platform, other accounts, or our systems, or interfere with the Platform's operation.
e. Use the Platform to send spam or unsolicited communications in violation of applicable law.
We may suspend or terminate access for violations of this section.
5. Pilots, Trials, and Fees
a. The marketplace is provided free of charge to users and is supported by advertising. Certain services, including CRM tools and pilot programs offered to Agencies, may be provided on a trial basis or under a separate written agreement.
b. Trial access may be time-limited and may automatically lock or expire at the end of the trial period. Any fees for paid services will be set out in the applicable agreement between Amaken and the Agency.
c. Where fees apply, payments may be processed by third-party providers. By providing payment details, you authorize the processing of those transactions. Fees are non-refundable unless stated otherwise in the applicable agreement.
d. Amaken reserves the right to suspend access to paid services for overdue amounts.
6. Intellectual Property
The Platform and its original content, features, and functionality are owned by Amaken and protected by copyright, trademark, and other laws. These Terms do not grant you any right to use Amaken's trademarks, logos, or branding without prior written permission.
7. Agent Listings
a. Agents who post listings ("Listing Agents") are solely responsible for the accuracy, completeness, and legality of their listings and any content included therein.
b. Listing Agents represent and warrant that they have the legal right to offer for sale or rent the properties described, and that their listings do not violate any applicable laws or regulations.
c. Listing Agents agree to indemnify and hold harmless Amaken from any claims, damages, or liabilities arising out of or relating to their listings, including claims of infringement of intellectual property rights, misrepresentation, or breach of contract.
d. Amaken reserves the right to remove or modify any listing it determines, in its sole discretion, to be inaccurate, incomplete, misleading, or in violation of these Terms.
e. Listing Agents grant Amaken a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display their listings on the Platform.
f. Listing Agents may be required to pay fees for certain services related to their listings, as specified in separate agreements.
g. Amaken does not endorse or guarantee the accuracy, reliability, or quality of any listing. Users are encouraged to conduct their own due diligence before entering into any transaction.
h. Listing Agents warrant that they hold a valid license for the activity they are posting for.
8. Agency Data and Data Processing
This section applies where you use the Platform as an Agency and input Agency Contact data.
a. As between the parties, the Agency is the data controller of Agency Contact data, and Amaken acts as data processor, processing that data on the Agency's behalf and on its documented instructions in order to provide the Platform.
b. The Agency represents and warrants that it has a lawful basis to collect Agency Contact data and to share it with Amaken, and that it has obtained any consent required from Agency Contacts — including for any advertising-related processing carried out through the Platform (such as conversion measurement or custom audience creation).
c. Amaken will: process Agency Contact data only to provide and support the Platform and as instructed by the Agency; apply appropriate technical and organizational security measures; and engage sub-processors (including hosting providers and, where the Agency uses advertising features, Meta Platforms, Inc.) under appropriate obligations.
d. On termination, or on the Agency's request, Amaken will delete or return Agency Contact data within 30 days, except where retention is required by law.
e. The handling of personal data in connection with the Platform is further described in our Privacy Policy.
9. Advertising and Measurement Tools
The Platform uses advertising and measurement tools provided by Meta Platforms, Inc., including the Meta Pixel and Conversions API, as described in our Privacy Policy. Where an Agency enables advertising features, the Agency is responsible for ensuring it has the necessary rights and consents for any Agency Contact data used with those tools.
10. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Amaken does not guarantee uninterrupted, secure, or error-free operation, or that the Platform will meet your requirements.
11. Limitation of Liability
To the maximum extent permitted by law, Amaken shall not be liable for any:
a. consequential, indirect, special, or exemplary damages (even if advised of the possibility);
b. loss of profit, business, revenue, production, contract, opportunity, or anticipated savings;
c. loss of or corruption to data;
d. loss of use; or
e. harm to reputation or loss of goodwill.
To the maximum extent permitted by law, Amaken's total aggregate liability arising out of or relating to the Platform shall not exceed the greater of (i) the total fees paid by you to Amaken in the twelve (12) months preceding the event giving rise to the claim, or (ii) 100 Jordanian Dinars (JOD).
12. Indemnification
You agree to indemnify and hold harmless Amaken and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, your content, your breach of these Terms, or your violation of any law or third-party rights.
13. Termination
a. You may stop using the Platform and close your account at any time.
b. We may suspend or terminate your access if you breach these Terms, or as reasonably necessary to protect the Platform or other users.
c. On termination, the rights granted to you under these Terms end. Sections that by their nature should survive (including Intellectual Property, Agency Data and Data Processing, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.
14. Force Majeure
Amaken is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, internet or infrastructure failures, acts of government, or other force majeure events.
15. Governing Law and Disputes
These Terms are governed by the laws of the Hashemite Kingdom of Jordan. The competent courts of Amman, Jordan, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.
16. General
a. If any provision of these Terms is held invalid, the remaining provisions remain in full effect.
b. You may not assign your rights under these Terms without our consent. Amaken may assign its rights and obligations.
c. These Terms, together with our Privacy Policy and any applicable separate agreement, constitute the entire agreement between you and Amaken regarding the Platform.
17. Modifications
Amaken may modify these Terms at any time, with prior notice for material changes. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
